Agreement to terms
By engaging Sector 7 Networks ("we," "us," or "our") for any IT services, or by accessing our website, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you must not use our services or website.
These terms apply to all clients, prospective clients, and visitors. Separate service agreements or statements of work signed between Sector 7 Networks and a client will govern the specific delivery of services; in the event of a conflict, the signed service agreement takes precedence.
Services
Sector 7 Networks provides managed IT support, cybersecurity, cloud services, backup and disaster recovery, IT strategy consulting, and related technology services to businesses in British Columbia.
The specific scope, deliverables, and service levels for each engagement are defined in the applicable service agreement or statement of work. We reserve the right to modify, suspend, or discontinue any service offering at any time with reasonable notice to affected clients.
We do not guarantee that services will be error-free or uninterrupted. We will use commercially reasonable efforts to meet any service level commitments set out in a signed agreement.
Payment terms
Fees for services are set out in your service agreement or quote. Unless otherwise agreed in writing:
- Monthly managed services are invoiced at the beginning of each month and are due within 14 days of invoice date.
- Project-based and ad-hoc work is invoiced upon completion and is due within 30 days of invoice date.
- Overdue invoices may attract interest at the rate of 2% per month (24% per annum).
- All fees are quoted and payable in Canadian dollars and are subject to applicable taxes.
We reserve the right to suspend services for accounts that remain materially overdue after reasonable notice.
Limitation of liability
To the fullest extent permitted by applicable law, Sector 7 Networks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or in connection with our services or these terms, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or related to these terms or our services shall not exceed the total fees paid by you to Sector 7 Networks in the three months immediately preceding the event giving rise to the claim.
Termination
Either party may terminate a service agreement in accordance with the notice provisions set out in that agreement. In the absence of a specific agreement, either party may terminate ongoing services by providing 30 days' written notice.
We may terminate or suspend access to our services immediately, without prior notice, if you breach any provision of these terms or your service agreement, or if we are required to do so by law.
Upon termination, you remain responsible for all fees accrued up to the effective termination date. We will provide reasonable assistance with offboarding and data return within the scope agreed in your service agreement.
Governing law
These terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.
